  • "Service" — the advisory, process review, and operations improvement engagements offered by Kintara, as described on this website.
  • "We / Us / Our" — Kintara Co., Ltd., registered in Thailand, operating at 88 Sathorn Tai Road, Sathorn, Bangkok 10120.
  • "You / User" — any individual or organisation visiting this website or engaging our services.
  • "Content" — all text, documents, process maps, reports, methodologies, and materials produced or made available by us in the course of delivering a Service.
  • "Website" — the Kintara website accessible at the domain on which these terms are published.

2. Acceptance of Terms

By visiting this website, submitting an enquiry, or engaging our advisory services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.

To engage our services you must be at least 18 years of age and have full legal capacity to enter into a binding agreement. If you are acting on behalf of an organisation, you warrant that you are authorised to bind that organisation.

If you do not agree with any part of these terms, please refrain from using this website or engaging our services. Continued use of the website following any update to these terms constitutes acceptance of the revised version.

3. Service Description

Kintara provides professional advisory services focused on operations and process improvement for businesses operating in Thailand and the broader region. Our services include process documentation, workflow reviews, operational redesign guidance, and organisational structure advisory.

The three service offerings currently available are described on our website. We reserve the right to modify, withdraw, or introduce services at any time. We will endeavour to communicate material changes to clients with an active engagement in advance.

While our advisors have substantial professional experience, the outputs of our work constitute general operational guidance and professional opinion. They do not constitute legal, financial, medical, or regulatory advice, and should not be treated as such.

4. User Responsibilities

Acceptable use

You agree to use this website and our services in a lawful and respectful manner. You will not use either for any purpose that is unlawful, misleading, or harmful to others.

Accuracy of information

You agree to provide accurate and complete information when submitting enquiries or entering into a service engagement. Misleading or incomplete information may affect our ability to deliver the agreed service effectively.

Prohibited activities

  • Attempting to disrupt or interfere with the website's infrastructure or security.
  • Reproducing, distributing, or commercialising our Content without prior written consent.
  • Using our methodologies or deliverables to develop competing advisory services without a licence.
  • Making false or defamatory statements about Kintara, its staff, or its clients.

5. Intellectual Property

All Content, methodologies, process frameworks, templates, and materials created by Kintara remain the intellectual property of Kintara Co., Ltd. unless explicitly transferred in writing as part of a service engagement.

Upon full payment for a Service, we grant you a non-exclusive, non-transferable licence to use the specific deliverables produced for your organisation for internal business purposes. This licence does not extend to resale, redistribution, or use in services provided to third parties.

The Kintara name, logo, and brand materials are protected. You may not use them without our prior written consent.

6. Payment Terms

Fees for our services are quoted in Thai Baht (฿) and are set out in the relevant service description or engagement proposal. Payment terms will be agreed in writing at the start of each engagement.

Unless otherwise agreed, an initial deposit may be required before work commences, with the balance due upon completion. We accept bank transfer and other payment methods as agreed at the time of engagement.

All fees are exclusive of applicable value-added tax (VAT) or other taxes, which will be added where required under Thai law.

Cancellation and refunds

If you need to cancel or reschedule, please notify us as early as possible. Refund eligibility depends on the stage of work completed at the time of cancellation and will be assessed on a case-by-case basis in good faith. Work already completed and delivered will generally not be eligible for a refund.

7. Service-Specific Terms

Each engagement will be governed by a written service proposal or engagement letter setting out the scope, timeline, deliverables, and fees. In the event of any conflict between these Terms and an engagement letter, the engagement letter will take precedence for that engagement.

Scope changes

Any material change to the agreed scope will be documented and agreed in writing before additional work is undertaken. We will advise you promptly if a requested change is likely to affect the timeline or fee.

Client obligations

To deliver our services effectively, we rely on your cooperation, including timely access to relevant staff, processes, and documentation. Delays caused by lack of access or information may affect delivery timelines without creating an obligation on our part to absorb additional costs.

8. Disclaimers

Our services and the Content produced are provided in good faith based on the information available to us at the time of engagement. We make no representations that specific operational outcomes will be achieved as a result of implementing our recommendations.

The website and its general informational content are provided on an "as is" basis without warranty of any kind. We do not warrant that the website will be uninterrupted, error-free, or free from harmful components.

Nothing in our services constitutes legal, financial, accounting, or regulated professional advice. Where such advice is required, you should consult a suitably qualified and licensed professional.

9. Limitation of Liability

To the maximum extent permitted by Thai law, Kintara's total liability to you in connection with any engagement shall not exceed the total fees paid by you for that specific engagement during the twelve months preceding the relevant claim.

We shall not be liable for any indirect, consequential, incidental, or special loss or damage, including loss of profit, loss of revenue, loss of data, or business interruption, regardless of whether such loss was foreseeable.

These limitations apply to all claims whether arising in contract, negligence, or otherwise. Nothing in these Terms limits liability for fraud or for any matter where limitation is prohibited by law.

10. Indemnification

You agree to indemnify and hold harmless Kintara Co., Ltd., its directors, employees, and advisors from any claims, losses, damages, or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of our services or Content, or any false or misleading information provided to us in the course of an engagement.

11. Termination

Either party may terminate an engagement by providing reasonable written notice. The appropriate notice period will depend on the nature and stage of the engagement and should be agreed at outset.

We reserve the right to suspend or terminate an engagement immediately if you are in material breach of these Terms and that breach has not been remedied within a reasonable time of written notice.

Upon termination, any fees due for work completed to the point of termination remain payable. Provisions relating to intellectual property, liability, and confidentiality survive termination.

12. Dispute Resolution

These Terms and any dispute arising from them are governed by the laws of the Kingdom of Thailand. The Thai courts shall have exclusive jurisdiction over any dispute that cannot be resolved amicably.

Before commencing formal proceedings, both parties agree to make a genuine effort to resolve the matter informally. Either party may initiate this by sending a written description of the issue to the contact details below.

Where the parties agree, disputes may be referred to a mutually acceptable mediator before escalation to court proceedings.

13. General Provisions

  • Entire agreement. These Terms, together with any engagement letter, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior discussions and understandings.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions continue in full force.
  • Waiver. Our failure to enforce any right under these Terms on any occasion does not constitute a waiver of that right for future occasions.
  • Assignment. You may not assign your rights or obligations under these Terms without our prior written consent. We may assign our rights to a successor entity in the event of a business transfer.
  • Notices. Formal notices under these Terms should be sent to the contact details in Section 15 and will be considered received on the date of confirmed delivery.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, practices, or legal requirements. The updated version will be published on this website with a revised "Last Updated" date.

For clients with active engagements, material changes will be communicated directly. Continued use of our website or services following publication of updated Terms constitutes acceptance of those changes.
